Our focus is on transactional work and we regularly advise on public takeovers (cash offers as well as exchange offers) and securities offerings (initial public offerings, rights issues and share redemptions, as well as private placements of securities). The group also regularly advises clients on corporate governance matters and other capital markets matters (securities law and company law).
We believe that capital markets transactions, and in particular public takeovers, are some of the most challenging transactions to work on as a corporate lawyer. The legal framework for Swedish capital markets transactions is complex and constantly evolving. It involves, inter alia, EC directives, Swedish statutory provisions, regulations and recommendations issued by supervisory authorities, listing agreements and rules issued by marketplaces, and best practices and statements issued by the Swedish Securities Council. Capital markets transactions also often attract significant public attention from other parties such as shareholders, the media, and other investors. In these situations, our clients often have to make expedient decisions on complex and significant matters. This is when our clients rely on us to provide accurate, solid and hands-on advice which may sometimes be on very short notice. To provide sound advice in these situations we have the experience and in-depth knowledge from previous transactions combined with extensive theoretical knowledge about the legal framework.
