M&A is one of G&D's core areas. G&D has extensive experience as an advisor in acquisitions of companies and businesses. This includes everything from M&A work involving large multi-national corporations to acquisitions of small and mid-size family companies. This involves controlled auctions sales as well as traditional acquisitions.

Controlled auctions are becomming increasingly frequent and we have extensive experience in representing both sellers and purchasers. Knowing how the seller tends to reason, we can also provide accurate advice to the purchaser. The auction process is not just about the price that purchasers are prepared to pay. For the individual purchaser, it is also a matter of how to respond to the proposed terms of the acquisition and more generally how to position oneself and act – strategically and tactically – in the auction process.

Our partners and senior associates have participated in a great deal of M&A work and out of experience have knowledge about the issues that typically arise and the available solutions. This is not limited to purely legal issues. Our experience also allows us to participate and provide advice on strategic and structural issues.                     

An important part of an acquisition for the purchaser is the due diligence process. In recent years it has also become more and more common for the seller to carry out a seller due diligence as part of the preparation for a divestment. Our lawyers are very experienced in carrying out due diligence in the most effective way and, most importantly, reporting what has been found so that the report becomes truly useful for the client. 

All M&A require the participation of specialists. This applies, for example, to competition law, employment law, and intellectual property law issues. Naturally, specialists in all of these fields are part of the team we form for the specific transaction.
