Gernandt & Danielsson advises Volati AB in relation to changes in AB Svensk Bilprovning

Matters

The ownership of a network of vehicle inspection stations in southwestern and central Sweden has been acquired by FBYB Holding AB from AB Svensk Bilprovning. FBYB Holding AB will take over the business, which will operate under the name Besikta Bilprovning, on 18 March 2013 and has agreed with Volati AB concerning the operational running of the business. Volati AB also has the opportunity to acquire the business in 2015. Gernandt & Danielsson advised Volati AB in the transaction.

The state will acquire whole ownership in AB Svensk Bilprovning while FBYB Holding AB, owned by the twelve former minority shareholders in in AB Svensk Bilprovning, will become sole owner of a network of stations in southwestern Sweden and Mälardalen, which will consist of 56 inspection stations. In connection thereto Volati AB has agreed with FBYB Holding AB that Volati AB shall manage the operational running of the business, which will operate under the name Besikta Bilprovning. Volati AB has also agreed with FBYB Holding AB that Volati AB shall have the right to acquire entire Besikta Bilprovning in 2015.

Gernandt & Danielsson advised Volati AB in the transaction on Volati AB’s role as operator of the business and financier of the transaction as well as its possibility to take over ownership of the business in 2015.

Gernandt & Danielsson has advised in the transaction with a team consisting of the partners Mikael Borg and Krister Skoog and the associates Gabriel Zsiga and Josefin Ström.
