Gernandt & Danielsson advises CRH in connection with its acquisition of NCC Industry’s operations in Denmark and Finland

Matters

Gernandt & Danielsson advises CRH, a leading provider of building materials, in connection with its acquisition of NCC Industry’s operations in Denmark and Finland. NCC Industry is a leading Nordic producer of stone materials and asphalt. NCC Industry, including the operations in Sweden and Norway which are acquired by Heidelberg Materials, is being divested by NCC AB at a total enterprise value of SEK 8.2 billion.

The transaction advances CRH’s strategy of building an aggregates-led, connected portfolio aligned with growing infrastructure megatrends. In Denmark, NCC Industry’s national network of asphalt plants and land- and marine-based aggregates sites, together with its substantial high-quality reserves, will significantly expand CRH's presence in the market and its exposure to demand from major road, infrastructure and industrial projects. In Finland, NCC Industry’s attractive network of reserve-backed hard-rock quarries and backfilling and recycling operations will complement CRH’s existing operations and connected portfolio of businesses in the Finnish market.

The transaction is subject to regulatory approvals, with completion expected during 2027.

Gernandt & Danielsson advises CRH with a team led by partner Corinne Ekman, senior associate Simona Stenborg and associate Elias Vahman, mainly assisted by partners Oscar Anderson (Corporate), Peter Forsberg (Competition), counsels Erika Olofsson (Corporate), Hanna Julin (Employment), senior associates Rickard Tinglöf (Competition), Martin Zeitlin (Intellectual Property), and associates Siri Telmen (Corporate), Moa Fredriksson (Corporate) and Sofie Hallén (Competition/FDI).
