As from 1 October 2018, the parent company of the Nordea Group has its registered office in Finland. The transfer from Sweden to Finland was carried out by way of a reversed cross-border merger, meaning that the former parent company Nordea Bank AB (publ) merged with its Finnish subsidiary Nordea Bank Abp. As a result of the merger, Nordea Bank AB (publ) has been dissolved and all assets and liabilities have been transferred to Nordea Bank Abp, which now is the parent company of the Nordea Group. The banking business in Sweden will be conducted through a new Swedish branch of Nordea Bank Abp. The shareholders of Nordea Bank AB (publ) received as merger consideration one new share in Nordea Bank Abp for each share owned in Nordea Bank AB (publ). The shares in Nordea Bank Abp have been admitted to trading on Nasdaq Helsinki, Nasdaq Stockholm and Nasdaq Copenhagen.
